The terms "Bidder" or "Bidders", "Client" or "Clients", "You", "Your" and "Yours", refer to anyone accessing for any reason our services or the BidPetroleum.com web site. The terms "We", "Us", or "Our" refer to Bid Petroleum or BidPetroleum.com
Bid Petroleum is offered to you conditioned on your acceptance of the terms, conditions, restrictions and notices contained herein. Bid Petroleum may amend or modify these Terms and Conditions without notice, effective immediately, by updating this posting. Your use of the BidPetroleum.com web site constitutes your agreement to all such terms, conditions, restrictions and notices. For purposes of this agreement, Users, or otherwise called Members, are classified as Bidders, or Clients.
ELIGIBILITY FOR MEMBERSHIP Bid Petroleum shall have absolute discretion as to whether or not it accepts a particular applicant or web site for participation in the service. Bid Petroleum's web site is available only to individuals or companies who can form legally binding contracts under applicable law. The services of this web site are not available to minors. If Bidders or Clients do not qualify, they cannot legally use any of Bid Petroleum's services including, but not limited to, those that require the Bidder's or Client’s ability to form legally binding contracts.
At all times during which you are a Bidder or Client you shall be a non-agent independent contractor of Bid Petroleum, subject to these Terms and Conditions, as amended from time to time, and in that capacity shall not be acting on behalf of Bid Petroleum in a fiduciary capacity and shall not have any authority to act on behalf of Bid Petroleum. These Terms and Conditions and any revisions thereto shall be made available to you when you access the BidPetroleum.com web site.
DESCRIPTION OF SERVICES Bid Petroleum offers a wide range of tools, content, products, services, benefits, and other resources on its BidPetroleum.com web site of particular interest to Bidders and Clients and to enable them to efficiently and cost effectively manage their careers, professions, and businesses. These services are for use only under a non-exclusive, non-transferable, and non-assignable license under these Terms and Conditions of use. You do not have the right to copy, sell, or otherwise exploit for any commercial purpose the services or content, in whole or in part, of the BidPetroleum.com web site.
Some of the content provided at Bid Petroleum may relate to various subjects such as information pertaining to legal matters, financial matters, health matters, and other matters for which the content of is provided in an advisory nature. This information is provided solely for informational and general non-advisory purposes. If desired, Bidders and Clients should use their own efforts to confirm such information with a professional(s) in the pertinent field(s). The Bidders are thought leaders in predominately the oil and gas industry, but not excluding other related industries. Bid Petroleum arranges for Bidders to participate in paid consultations, called Projects, for our Clients. These Projects include, but are not limited to, telephone consultations, preparation of reports, participation in online discussions and attendance at public or private meetings with the Client.
Bid Petroleum periodically identifies new types of consulting opportunities to broaden access to the knowledge and experience of Bidders and meet the information needs of Clients.
MEMBERSHIP POLICIES Violation by you of the policies set forth below will be a breach of these Terms and Conditions and may result in immediate termination of your engagement with Bid Petroleum. Bid Petroleum reserves the right to terminate the participation of any Bidder or Client that Bid Petroleum judges to be in violation of the Terms and Conditions, or even without any explicit reason and without prior notification.
Bidders or Clients in violation of the Terms and Conditions herein will be immediately deactivated from the BidPetroleum.com web site and will not receive any credit or payment from Bid Petroleum. Bidders or Clients that are terminated by Bid Petroleum on any basis other than violation of these Terms and Conditions will be entitled to receive a full refund of their commission fees.
Below are important Guidelines and Restrictions for Participation in Projects: You must decline any Project or discontinue your participation in any Project when: • That presents a conflict of interest; • Where participation could breach any agreement with, or other obligation to, any person, employer or other entity; • Where participation could result in the release of trade secrets or other proprietary or confidential information; or • Where participation could result in the release of material or relevant non-public information concerning any public company or violate any law or regulation.
If you are unsure about your ability to comply with these guidelines and restrictions, you will be expected to take appropriate measures to ensure your compliance or to decline to participate as a Bidder or Client.
Participation in Projects Bidders who are directors, officers or other employees of companies are not eligible to and should not participate in projects about such companies. If by inadvertence, a Project about a company of which you are a director, officer or other employee is assigned to you, you must decline the offer and notify Bid Petroleum. If a public company of which you are a director, officer or other employee is the subject of a tender offer; you must decline all invitations to consult while the tender offer process is taking place. You must decline to continue with a Project if continuing could result in the release of trade secrets or other proprietary or confidential information or non-public information that might be material or the above guidelines and restrictions would otherwise be violated.
Your participation in Projects is always at your discretion. Bidders are never obligated to accept a Project and may decline to participate for any reason. Bid Petroleum makes no representation regarding the frequency or quantity of Projects in which you may participate. You understand and confirm that you are not speaking about or acting on behalf of Bid Petroleum in your interactions with Clients on Projects.
Bid Petroleum does not participate in your interactions with our Clients and is not liable or responsible for the content of consultations and Projects arranged by Bid Petroleum. You will be expected to provide information during any Projects in good faith and to the best of your ability and at all times consistent with these Terms and Conditions, including the guidelines and restrictions contained herein. It is your responsibility to ensure that you do not violate any law, regulation, agreement or other obligation you may have by participating in any Project or by disseminating any information during such Projects. Should you become concerned with the nature of any inquiry by one of our Clients or whether your participation in a Project could result in a violation of any law, regulation, agreement, Bid Petroleum policy, or other obligation you may have, you should discontinue your participation in the Project and notify us immediately.
Confidentiality Bid Petroleum appreciates that you may not want your name or contact information disclosed to unknown parties. By agreeing to the Terms and Conditions hereof and of the Privacy Policy incorporated herein by reference, we and you agree that we will maintain the information you provide us upon registering as a Bidder or Client and any additional information we collect through our interactions with you, for our own internal use and for presentation to Clients to arrange Projects between you and Clients. Bid Petroleum never sells its directories to third-party marketers and similar organizations.
You agree to keep confidential any trade secrets, know-how, intellectual property or copyrighted information of Bid Petroleum. In addition, you agree to keep other business information and the nature and all contents of consultations, surveys or other consulting Projects with Clients confidential. You may not, without Bid Petroleum's prior written consent or except to the extent required by applicable law, with prior notice to Bid Petroleum or the Client, communicate or divulge the contents or existence of any Project, including the name of the Client entity or employee to anyone other than Bid Petroleum and the Client with whom you may consult, as applicable and except as necessary to secure any third party consent to your participation in Bid Petroleum or in a Project. You must not use Client information, including but not limited to information about investment or trading decisions, for your personal benefit or reveal to any other person any information regarding securities transactions by a Client or the consideration by a Client of any transaction or investment idea that you may learn in the course of the Project. You agree that you will not use such information other than in the course of Projects for that Client.
Copyright All material in Bid Petroleum.com web site, whether explicitly marked or not, as well as any other Bid Petroleum materials that you receive, or that you produce in the course of your work on Projects, is protected by copyright. By posting material in BidPetroleum.com you expressly grant Bid Petroleum the non-exclusive right to publish, broadcast, copy, distribute, and make available for download such material, whether alone or in combination with other materials. You may download material from BidPetroleum.com only for your personal, non-commercial use.
Subsequent copying, redistribution, or publishing of material is prohibited without the written approval of Bid Petroleum. Removal of trademark or copyright notices from any content is strictly prohibited. It is your personal responsibility to be sure that you have the right to share any messages, information, or other content you post on BidPetroleum.com or provide to Clients.
Reliance by Clients These Terms and Conditions are intended to benefit our Clients and enable our Clients to satisfy themselves that all Projects will be carried out in accordance with applicable laws and will not lead to the improper disclose of confidential information, nor the disclosure of our Clients' confidential information. Clients may from time to time request that you confirm any part of these Terms and Conditions as a condition to your participation in a Project. You understand that each of our Clients and the person with whom you may engage in any Project is an intended beneficiary of these Terms and Conditions and the covenants and agreements made by you hereunder, and that our Clients shall have the same rights and expectations with respect to your compliance with these Terms and Conditions as a third party beneficiary as possessed by Bid Petroleum as a direct contracting party.
MECHANICS OF CONSULTATIONS Expectations of Service Bid Petroleum expects Bidders to either accept or decline an offer to perform a Project within 48 hours of receiving an invitation and to schedule a preliminary interview within three business days of contact from the Client. If there is a possibility that you would be unable to meet the requested timetable of consultations for any Project because of time constraints, or for any other reason, please decline the Project.
Bidding Bidders can only place bids in US dollars that equal the total amount of money they are requesting for their services tendered for the completion of the project. Bidders cannot post an hourly rate or any other abnormal type of bid. The same rule applies to Clients. Clients cannot create projects that directly or indirectly require Bidders to place hourly or other abnormal bids.
Fees All amounts in the BidPetroleum.com web site are stated in US funds. Enrolment of Bidders and Clients in the BidPetroleum.com web site is absolutely free. Bidders must pay to Bid Petroleum a commission fee of 2% of their bid only if their bid is the winning bid. Clients must pay a commission fee of 4% of the winning bid to Bid Petroleum only if they award their project to the winning Bidder. The payment of the commission fees to Bid Petroleum can be made by check, money order, wire transfer, credit card or through the PayPal, iKobo and e-gold services. Any funds received from a fraudulent account or source, for example a stolen credit card, will be reversed immediately.
As previously stated, any Bidder or Client that Bid Petroleum removes from the service due to violation of the Terms and Conditions will not receive a refund of the commission fee. If you discontinued participation in a Project in order to comply with these Terms and Conditions, you may submit a request for a full refund of your commission fee paid to Bid Petroleum. The average processing time for refund of commission fees is two weeks upon verification of the nature of non-compliance to our Terms and Conditions.
Access Rights Your username and password are for your individual use only. You may not share your account information with others, other than your direct assistants and only if they agree to be bound by the confidentiality provisions above. Your accounts are authorized on an individual basis for individual use, unless specified otherwise by specific contract between Bid Petroleum and the Bidder or Client. You must not use the service of Bid Petroleum to promote, conduct or solicit the performance of any business or activity.
PROVIDING CONTACT INFORMATION Bidders and Clients agree not to post their contact information on the BidPetroleum.com web site, except in the designated fields of the signup form, or when asked by Bid Petroleum at any other time. Contact information is, but not limited to, address, e-mail address, telephone number, mobile telephone number, ICQ, AIM, URL, MSN Messenger and any further means of direct or indirect communication. Violation of this term will result in your immediate termination from Bid Petroleum. See "Avoiding Commissions" below for an explanation.
AVOIDING COMMISSIONS You are strictly prohibited from attempting to negotiate the fee for a project with a Client directly or outside of the BidPetroleum.com web site after that project has been created/opened and before that project has been closed, which is defined as an ongoing bidding process. The same applies to any project that was closed without a Bidder is being chosen, and then contacting the Bidder about the same project anyway. Violation of this term will result in the immediate termination of your account from Bid Petroleum.
Both parties are responsible for notifying Bid Petroleum if the payment amount increases above the initial bid amount after the project is closed. Receiving a larger amount than the original project bid, without notifying us, will be considered an attempt to avoid the commission fee. Violation of this term will result in the immediate termination from Bid Petroleum. We believe our commissions are fair and justified for the service we provide; therefore we will absolutely not tolerate any of this activity in BidPetroleum.com
REFERRAL REWARDS The referral reward paid out to Bidders or Clients is 25 US dollars, except when the winning Bid is less than $500 US dollars. At this case, the referral reward will be equal to 3% of the winning Bid amount. Members of Bid Petroleum will be eligible for referral rewards only when the referred Member posts a genuine project and chooses a winning Bidder. Furhtermore, both Project creator and winning Bidder must pay their commision fees as speculated in the Fees section of these Terms and Conditions for Bid Petroleum to pay the referral reward. If the commision fees are not paid to Bid Petroleum the referral reward will be permanently negated.
If the referral reward is changed, it will only affect referrals made after the new reward rate was announced. You may not refer yourself, nor sign up for multiple accounts to collect referral rewards. You may also not partner with any other Client or Bidder to share the referral reward made from your own account, or else both Client and Bidder will be terminated from the service without payment. Bid Petroleum reserves the right to cancel referral rewards if we believe the referred Client did not submit a genuine Project or the Project will never have a winning Bidder.
USER CONTENT AND USER RESTRICTIONS Bidders and Clients are prohibited from advertising their website on BidPetroleum.com as any URL posted in a bid, project description, or the message board will result in immediate account termination.
Bidders and Clients are solely responsible for User content or any other information they provide to Bid Petroleum. Bidders and Clients understand and agree that Bid Petroleum is only acting as a venue for the online distribution and publication of User content. However, no warranties as to the actual distribution or publication of User content are made or implied. Bid Petroleum has the right, but no obligation, to take any action deemed appropriate with respect to User content if it is believed that such content may create liability for Bid Petroleum, harm our business operation or reputation, or cause Bid Petroleum to lose the services of our suppliers.
DISPUTE RESOLUTION Any disputes regarding arrangements between Bidders and Clients remain solely between Bidders and Clients. We are not involved in any transactions between you and any other Bidders and Clients of Bid Petroleum. You acknowledge and agree that Bid Petroleum will not be a party to any such dispute or be obligated to take any action or refrain from taking any action toward resolving any such dispute. If you have a dispute with any Bidders and Clients of the BidPetroleum.com web site, you hereby release Bid Petroleum from any and all claims, demands, and damages, actual and consequential, of every kind and nature, known and unknown, related to such a dispute.
In no event, shall Bid Petroleum be liable to you or any other party for any damages resulting from or relating to your participation as a Bidder or Client, the performance of any services by you as a Bidder or the business operations as a Client, including without limitation for any incidental, consequential, punitive or special damages.
REPRESENTATIONS AND ACKNOWLEDGEMENTS You represent that your participation in BidPetroleum.com does not violate or conflict with any agreement, obligation or duty you may have to any other person or entity.
You agree to notify us immediately if, and to the extent you are no longer permitted to participate in BidPetroleum.com
Furthermore, if, and as you undertake Projects, you must ensure that you do not violate any law, regulation, agreement or other obligation you may have. You must not disclose trade secrets or other proprietary or confidential information of an employer or other entity to which you have access to such information.
You represent that the biographical information you have provided us is accurate and complete in all material respects and that you will promptly update or provide us with any updated information should any of the information contained in your biography change in any material respect. You agree to provide information during any Projects in good faith and in all cases consistent with these Terms and Conditions and the guidelines and restrictions contained herein.
You represent that you have the capacity to enter into these Terms and Conditions and to be bound by them.
